Tokenized stocks already work everywhere onchain. They sit in wallets, back loans, earn yield in vaults and get traded by AI agents managing portfolios. Voting is the one thing that still pulls them back offchain, onto a separate website where a person logs in and clicks a button.

We think that's backwards. Voting with the rights attached to Stock Tokens shouldn't require any offchain activity. It should be composable with the entire onchain ecosystem and everyone in it: individual holders, smart contract wallets, DeFi protocols and autonomous agents.

Votearn is an open protocol for expressing votes onchain. It's a simple, public standard any wallet, contract or agent can use.

How it works

At its core, Votearn does one thing: it records a vote and emits a Voted event that anyone can read, index and build on.

vote() can be called in two ways:

  • Directly. Any EOA or smart contract calls vote(), and the vote is attributed to msg.sender.
  • By signature. A voter signs their choice offchain using EIP-712, and anyone can submit it. Contracts sign too, through EIP-1271, so a vault, multisig or smart account can vote exactly like a person.

That's it. No accounts, no logins, no separate voting portal. If something can hold a Stock Token, it can vote.

Built for everyone onchain

DeFi vaults. When your Stock Tokens sit in a yield-bearing vault, you hold a vault share, not the stock itself. The vault knows how much underlying stock each depositor's share represents, so it can calculate that position and sign the vote accordingly. Your voice survives the deposit.

AI agents. An agent managing a portfolio of Stock Tokens can track meetings, read proposals and vote directly onchain, following your instructions or the preferences you've set. Every vote it casts is public, so you can always see what it did on your behalf.

Lending markets, pools and smart wallets. Any protocol holding Stock Tokens can offer voting inside its own interface, or vote collectively for its users, using the same standard.

What this is, and what it isn't yet

Votearn is an open protocol. We aren't partnered with any issuer, custodian or official voting service today, so votes cast through Votearn are not official shareholder votes. They're public, verifiable expressions of intent that any official service could choose to recognize in the future.

Where we're starting: our own treasury

To make these votes count from day one, we're starting with our own treasury of Stock Tokens. When Votearn users vote on a proposal, the treasury casts its real shareholder vote weighted by their results. If 70% of participating users vote for a proposal, 70% of the treasury's voting power goes the same way.

It's a small start, but a real one: your onchain vote shapes an actual corporate vote today, while the protocol grows toward direct recognition by official voting services.

Assets onchain. Their rights, too.

All assets are moving onchain. The rights attached to them should come along, usable by every wallet, contract and agent that holds them.

Votearn is the first step: an open standard for casting votes, a public record anyone can build on, and a treasury putting those votes to work now.
